Terms of Use

1. Introduction

HelloMinds ("HelloMinds", "we", "us") is an experimental online platform for topic-based live video conversations ("MindRooms").

During this early MVP / private beta phase, HelloMinds is operated by an individual:

These Terms of Use ("Terms") govern your access to and use of hellominds.com and any related services (together, the "Service"), even if you are only a tester, friend, or potential investor.

By accessing or using the Service in any way (including via fixed guest or admin accounts), you agree to these Terms.

2. Early test / MVP status

HelloMinds is currently in a testing and prototype phase:

  • Features are incomplete and may change, break or disappear at any time.
  • Access may be limited to a small group of invited testers, friends or potential investors.
  • We may modify, restrict, or shut down the Service without prior notice.

You understand that the Service is experimental and agree to use it at your own risk.

3. Who may use HelloMinds

  • The Service is currently intended for adults (18+) only.
  • Use is limited to people who have been invited or given access by us (for example, through fixed guest accounts, admin accounts or test links).

If you access the Service, you confirm that:

  • You are at least 18 years old.
  • You are using it only for testing, feedback, or evaluation purposes (for example as a potential user, host, or investor).

4. Access and test accounts

During this MVP phase, we may use:

  • Fixed guest accounts (shared or generic test credentials), and/or
  • Admin/host accounts used by us or selected testers.

You agree to:

  • Use any account only as permitted and not share credentials outside the agreed test group.
  • Not attempt to bypass security, probe systems, or disrupt the Service.
  • Not attempt to access other testers' accounts or private information.

In the future, if we introduce personal user registration, additional terms may apply.

5. Our ethos & expected behaviour

HelloMinds is meant to be a calm, respectful, content-focused space.

When you join or host a MindRoom, you agree to:

  • Focus on content, not personal attacks.
  • Avoid harassment, hate speech, threats, or targeted abuse.
  • Avoid trolling, spamming, brigading, or intentionally derailing discussions.
  • Respect the privacy and dignity of other participants.
  • Follow any room-specific rules set by the host or by HelloMinds.

You must not use HelloMinds to:

  • Break any laws or encourage others to do so.
  • Share illegal content, incite violence or hatred.
  • Share explicit sexual content or exploitative material.
  • Share someone else's private or sensitive information without their consent.

We may mute, remove, block or disable access for users who violate these expectations.

6. Content and recordings

Live participation

When you join a MindRoom:

  • Other participants may see your display name, any profile picture, and your audio/video when your microphone or camera are enabled.
  • You are responsible for what you say and show.

Recordings and consent

During the MVP, we may experiment with recording some rooms (audio and/or video) for internal testing and improvement.

  • If a room is recorded, it will be clearly indicated in the interface (for example, recording icon and label).
  • When recordings are enabled, we will require an explicit consent tick (for example, a checkbox or button) before you can join or continue speaking in that recorded room.
  • If you do not consent to being recorded, you must not join or must leave / stay muted with camera off in that recorded room.

By consenting to join a recorded room, you agree that:

  • Your voice, image and contributions may be recorded and temporarily stored.
  • We may use these recordings to:
    • Test and improve HelloMinds (quality, UX, moderation tools).
    • Investigate technical issues or misuse.
    • Privately demonstrate functionality to collaborators or potential investors (not for public marketing without your explicit permission).

We may delete test recordings at any time. Recording rules may be updated as the platform evolves.

7. Your content and license to us

"User Content" means anything you say, show or write while using the Service: audio, video, text chat, room titles, descriptions, profile information, etc.

  • You remain the owner of your User Content.
  • To operate and test HelloMinds, you grant us a worldwide, non-exclusive, royalty-free license to:
    • Receive, process and transmit your User Content to other participants in real time.
    • Temporarily store, encode and process your content, including recordings, to:
      • Provide the Service.
      • Debug and improve the Service.
      • Investigate misuse or technical issues.

This license applies for as long as your content is stored on our systems, plus a reasonable time for backups and logs.

You confirm that:

  • You have the rights to share the content you provide.
  • Your content does not infringe the rights of others or violate any laws.

8. HelloMinds intellectual property

The HelloMinds name, logo, interface design, underlying software and any original content we provide are owned by us or our licensors.

You may not, without our permission:

  • Copy, modify, distribute, or reverse engineer any part of the Service.
  • Use the HelloMinds brand in a way that suggests official partnership, endorsement, or representation.

Limited use for testing, evaluation and feedback is permitted.

9. No payments or commercial use (yet)

At this MVP stage:

  • There are no payment features enabled on HelloMinds.
  • You cannot currently pay through the platform or receive payouts as a host.
  • Any mention of future monetisation models (room fees, tips, subscriptions, etc.) is conceptual only.

When we introduce payment features, these Terms will be updated and may be accompanied by additional terms.

10. Disclaimer and limitation of liability

The Service is provided "as is" and "as available" during this test phase.

To the maximum extent permitted by law:

  • We do not guarantee that the Service will be uninterrupted, secure, or error-free.
  • We are not responsible for:
    • User content or behaviour.
    • Technical issues, bugs, or data loss.
    • Any indirect, incidental or consequential damages, including lost profits or lost opportunities.

Our total liability arising out of or relating to the Service is limited to the greater of:

  • €50, or
  • The amount you have actually paid to us in the last 12 months (currently €0, as no payments exist).

Nothing in these Terms excludes liability where such exclusion is not permitted by applicable law.

11. Termination and suspension

We may, at any time:

  • Limit, suspend or revoke access to the Service or specific test accounts.
  • Remove users from rooms or block access if we believe they are violating these Terms or harming other users or the stability of the Service.
  • Shut down the Service, or any part of it, without prior notice.

You may stop using the Service at any time. If/when we introduce personal accounts, you will be able to request deletion of your account in line with our Privacy Policy.

12. Changes to these Terms

We may update these Terms as the Service evolves and as we move towards a public or commercial launch.

  • The version number and date at the top show the latest version.
  • For significant changes, we will try to inform active testers (for example, via email or an in-app notice).

If you continue to use the Service after changes take effect, you agree to the updated Terms.

13. Governing law

These Terms are governed by the laws of Germany, without regard to conflict of law principles.

In case of any dispute, we will first try to find an informal solution. If that is not possible, the courts of Germany will have non-exclusive jurisdiction, subject to any mandatory consumer rights in your country of residence.
